This Agreement is entered into by WhatsGoodApps LLC (“WhatsGoodApps,” “We,” “Us,” or “Our”), the developer of the Stealthwriter Ai app service (the “App”, “Service” or “Services”), and the entity or person agreeing to these terms (the “Customer,” “You” or “Your”), and governs the Customer’s access to and use of the Services.
For purposes of this Agreement, “Assets” means any content, materials, AI-generated outputs, rewritten text, edited text, humanized text, suggestions, recommendations, tone adjustments, style adjustments, formatting adjustments, document conversions, exported files, PDF files, DOCX files, TXT files, graphics, links, software components, data, or other information generated, provided, or made available through the Services, whether created by Us, generated by algorithms, or supplied by third parties.
This Agreement is effective when the Customer is presented with this Agreement and proceeds to use the Services (the “Effective Date”) or to receive, download, export, share, or distribute Assets. These terms may be updated and presented again to the Customer from time to time. Continued use of the Services constitutes acceptance of the updated terms. If You do not agree to this Agreement, please stop using the Services.
Service Availability and Quality
We are constantly improving the Services to make them better. The Services are subject to modification and change. No guarantees are made with respect to the Services’ quality, stability, uptime or reliability. Please do not create any dependencies on any attributes of the Services. We will not be liable to You or Your downstream customers for any harm caused by Your dependency on the Service.
Age Requirements
By accessing the Services, You confirm that You are at least 18 years old and meet the minimum age of digital consent in Your country. If You are old enough to access the Services in Your country, but not old enough to have authority to consent to Our terms, Your parent or guardian must agree to Our terms on Your behalf. In such case, please ask Your parent or guardian to read these terms with You.
If You are a parent or legal guardian, and You allow Your teenager to use the Services, then these terms also apply to You, and You are responsible for Your teenager’s activity on the Services.
Your Information
By using the Services, You may provide Us with personal information like Your email address, user name, billing information, uploaded files, text inputs, prompts, and other information that You enter. Please see Our Privacy Policy.
Prohibited Uses
We reserve the right to suspend or ban Your access to the Services at any time, and for any reason.
You may not:
Use the Services for competitive research;
Submit text, documents, PDF files, DOCX files, TXT files, prompts, or other materials that You do not have the right, permission, or lawful authority to submit for rewriting, processing, storage, or export;
Use the Services or Assets as the sole basis for legal, academic, employment, disciplinary, admissions, financial, or other high-impact decisions affecting any person;
Use the Services to violate any academic integrity policy, school policy, workplace policy, professional rule, platform rule, contract, honor code, disclosure obligation, or other rule that applies to You or Your content;
Use the Services to misrepresent authorship, ownership, originality, source, approval, endorsement, or compliance where disclosure or permission is required;
Use the Services to evade, bypass, deceive, or manipulate any detection, moderation, plagiarism, authorship, academic integrity, security, or review system in violation of applicable rules, laws, policies, or contractual obligations;
Use the Services to generate, rewrite, disguise, improve, distribute, or facilitate unlawful, fraudulent, deceptive, defamatory, harassing, threatening, hateful, sexually exploitative, invasive, infringing, spam, phishing, malware-related, impersonation, or otherwise harmful content;
Reverse engineer the Services or the Assets;
Use automated tools to access, interact with, or generate Assets through the Services;
Share Your account (only one user may use the Services per registered account);
Violate these Terms of Service or other policies applicable to the Services;
Violate the privacy, publicity, intellectual property, or other rights of any third party;
Use the Services to stalk, harass, abuse, mock, ridicule, intimidate, disparage, defame, threaten, defraud, or otherwise mistreat or harm any person or class of people;
Interfere with or disrupt the Services or servers or networks connected to the Services;
Access or otherwise obtain any materials or information through any means not intentionally made available or provided for by Us to You through the Services;
Use the Services (a) for fully automated decision making that adversely impacts an individual’s legal rights or otherwise creates or modifies a binding, enforceable obligation; (b) to provide financial or legal advice; or (c) to generate or share Assets used for administration of justice, law enforcement, immigration or asylum processes, such as predicting an individual will commit fraud or crime, drawing causal relationships between assertions made in documents, or engaging in indiscriminate or arbitrarily-targeted use;
Use the Services in any way that violates any applicable national, federal, state, local or international law or regulation; or
Attempt to do any of the above.
We reserve the right to investigate complaints or reported violations of Our Terms of Service and to take any action We deem appropriate including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to user profiles, e-mail addresses, usage history, posted materials, IP addresses and traffic information.
Stealthwriter Ai Rewriting Service
The App allows You to paste text into the App, upload supported document files, and use automated tools to rewrite, humanize, edit, polish, shorten, expand, simplify, rephrase, or otherwise modify written content. The App may allow You to choose rewrite styles, tones, output formats, or other options, including modes such as humanize, professional, casual, simplify, shorten, expand, or similar features.
You acknowledge and agree that the App provides automated AI-generated rewriting outputs. Any rewritten text, edited text, humanized text, formatting suggestion, style adjustment, exported file, or other Asset is generated automatically and may be inaccurate, incomplete, inappropriate, repetitive, awkward, misleading, or unsuitable for Your intended purpose.
We do not guarantee the accuracy, completeness, reliability, consistency, originality, quality, readability, grammar, spelling, tone, formatting, style, or suitability of any rewritten output or other Asset. You are solely responsible for reviewing, editing, verifying, and approving all Assets before using, submitting, publishing, distributing, exporting, or relying on them.
User Content, Document Uploads, and Rewriting
For purposes of the Stealthwriter Ai features, “User Content” includes any text, documents, PDF content, DOCX content, TXT content, excerpts, prompts, instructions, uploaded files, imported files, pasted text, submitted text, extracted text, or other materials that You paste, upload, import, submit, or otherwise provide to the Services for rewriting, processing, storage, display, export, or other use through the Services.
You represent and warrant that You have all necessary rights, permissions, consents, and authority to submit User Content to the Services and to allow the Services to process, rewrite, edit, format, store, display, export, and otherwise use such User Content and related Assets as described in these Terms and Our Privacy Policy.
You are solely responsible for User Content, including its legality, accuracy, confidentiality, sensitivity, and any third-party rights that may apply. You should not submit confidential, proprietary, sensitive, regulated, or third-party content unless You have the legal right and authority to do so and are comfortable with such content being processed and stored as described in these Terms and Our Privacy Policy.
PDF, DOCX, and TXT Uploads
The App may allow You to upload, import, or submit PDF, DOCX, TXT, or other supported files for text extraction, rewriting, editing, formatting, or export. Supported file types, file size limits, word limits, page limits, processing limits, and available upload features may vary by subscription plan, device, version, region, or other factors and may change over time.
Text extraction from uploaded documents may be imperfect. PDF files, scanned files, images, tables, columns, headers, footers, footnotes, page numbers, non-standard fonts, unusual formatting, password-protected files, corrupted files, or complex layouts may not extract accurately or completely. DOCX files may not preserve all formatting, comments, tracked changes, headers, footers, tables, images, embedded objects, or other document features. TXT files may not preserve styling, rich formatting, images, tables, or layout. You are solely responsible for reviewing extracted text before and after rewriting.
We do not guarantee that any uploaded file can be processed, extracted, rewritten, displayed, stored, downloaded, exported, or converted successfully.
PDF, DOCX, and TXT Exports
The App may allow You to export, save, download, share, or otherwise create rewritten results or other Assets as PDF, DOCX, TXT, or other supported file formats. Export features, supported formats, file size limits, document length limits, formatting options, and availability may vary by subscription plan, device, version, region, or other factors and may change over time.
Exported files may not perfectly preserve original formatting, layout, fonts, spacing, page breaks, margins, headers, footers, footnotes, endnotes, comments, tracked changes, tables, images, embedded objects, lists, hyperlinks, metadata, or other document features. PDF, DOCX, and TXT exports may differ from the original file and from what appears in the App. You are solely responsible for reviewing exported files before submitting, sharing, publishing, distributing, printing, or relying on them.
We do not guarantee that any exported file will be accepted by any school, employer, platform, publisher, client, agency, institution, software program, document reader, or third-party service.
No Guarantee of Detection, Originality, Acceptance, or Compliance
The App is a writing, rewriting, editing, and productivity tool. We do not guarantee that any User Content, rewritten output, exported file, or other Asset will pass, avoid, or produce any particular result from any AI detection, authorship detection, plagiarism detection, moderation, originality, review, or compliance system. Different tools, reviewers, institutions, platforms, employers, and other parties may evaluate the same content differently.
We do not guarantee that any content generated or modified through the Services is original, non-infringing, accurate, acceptable, publishable, suitable for submission, compliant with any policy, or free from claims by third parties. You are solely responsible for checking originality, citations, permissions, compliance, attribution, factual accuracy, and suitability for Your intended use.
School, Workplace, Platform, and Professional Rules
You are solely responsible for understanding and following any school, university, workplace, professional, client, publisher, platform, marketplace, contest, grant, scholarship, certification, licensing, or other rules, policies, contracts, disclosure obligations, or honor codes that apply to Your use of the Services and Assets.
The Services are not intended to help You violate, conceal violations of, or avoid compliance with any applicable rule, policy, contract, or legal obligation. If You are required to disclose the use of AI tools, obtain permission, cite sources, use only original work, or follow particular submission rules, You are solely responsible for doing so.
No Professional, Legal, Academic, Employment, or Compliance Advice
The Services and Assets are provided as a writing, rewriting, editing, productivity, and informational tool and do not constitute legal, academic, employment, publishing, compliance, professional, or expert advice. You should not rely on the Services as the sole basis for making legal decisions, academic integrity decisions, employment decisions, publishing decisions, compliance decisions, or other decisions that may materially affect a person’s rights, opportunities, reputation, or obligations.
You are solely responsible for how You interpret, edit, use, share, publish, submit, export, or rely upon any Assets generated by the Services.
History, Storage, and Data Loss
The App may save submitted text inputs, uploaded document text, extracted text, prompts, rewritten versions, exported files, and related Assets in the App’s History, saved projects, or similar features for future reference. Such data may be stored locally on Your device, in app storage, or through other storage methods used by the App.
If You delete the App, clear app data, change devices, lose access to Your device, or Your phone data is lost, damaged, deleted, or not backed up, You may permanently lose Your saved History, User Content, rewritten outputs, exported files, projects, and related Assets.
We have no obligation to preserve, back up, restore, recover, or provide copies of any lost History, User Content, rewritten output, exported file, project, or Asset.
No Model Training Using User Inputs
We do not use User Content, including pasted text, uploaded PDF content, uploaded DOCX content, uploaded TXT content, extracted text, prompts, rewritten outputs, exported files, or whole text inputs, to train, retrain, develop, or improve Our machine learning models.
User Content is processed for the purpose of providing the Services, generating rewritten outputs, extracting document text, creating exported files, saving History where applicable, operating the App, maintaining security, complying with applicable law, and enforcing these Terms.
User Responsibility for Outputs
You may choose to copy, save, export, screenshot, share, submit, publish, distribute, or otherwise use Assets generated by the Services. You are solely responsible for any such use, including ensuring that Your use complies with applicable laws, institutional policies, workplace policies, platform policies, contracts, disclosure obligations, and third-party rights.
If You share, submit, publish, distribute, or otherwise use any Asset, You must not remove material context, misrepresent the output, misrepresent authorship, imply any endorsement that does not exist, or use the output in a misleading, defamatory, harassing, infringing, deceptive, or unlawful manner.
Changes to Rewriting, Upload, Export, and History Features
We may modify, update, suspend, limit, or discontinue any aspect of the rewriting, humanizing, editing, tone adjustment, document upload, PDF import, DOCX import, TXT import, text extraction, PDF export, DOCX export, TXT export, History, saved project, or related features at any time. Results may change over time as the Services are updated, and previously generated Assets may not reflect later versions of the Services.
Informational and Productivity Purpose
The App and all features within the App are provided as writing, rewriting, editing, productivity, and informational tools.
We do not guarantee that users will obtain any particular rewritten text, tone, quality, formatting, export result, acceptance result, detection result, or other outcome when using the Services.
User experiences and results may vary due to the automated and probabilistic nature of the App’s rewriting and document processing features.
Limitation of Liability
To the fullest extent permitted by law, WhatsGoodApps LLC and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages (including but not limited to loss of profits or any other financial losses) arising from:
Your use of or reliance on any AI-generated suggestions, rewritten outputs, edits, exports, or other Assets.
Any inaccuracy, incompleteness, delay, formatting error, extraction error, export error, conversion error, or other error in the algorithms, outputs, or files provided by the App.
Any failure of User Content, rewritten outputs, exported files, or other Assets to pass or avoid detection by AI detection, authorship detection, plagiarism detection, moderation, originality, review, or compliance systems.
Any rejection, penalty, discipline, claim, dispute, loss, reputational harm, or other consequence arising from Your submission, publication, distribution, sharing, export, or use of User Content, rewritten outputs, exported files, or other Assets.
Any loss, deletion, corruption, or unavailability of History, User Content, rewritten outputs, exported files, projects, or other Assets, including due to deletion of the App, loss of phone data, device changes, or failure to back up data.
Any decisions You make based on the App’s features; or
Your use of or interaction with any Third-Party Services.
Both the Services and the Assets are provided to Customer on an “AS IS” BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. You are solely responsible for determining the appropriateness of using the Service and assume any risks associated with use of the Services.
The Service is not intended to provide financial or legal advice.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT NEITHER WHATSGOODAPPS NOR ITS OFFICERS, EMPLOYEES, DIRECTORS, SHAREHOLDERS, LICENSORS, SERVICE PROVIDERS, AFFILIATES AND AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF WHATSGOODAPPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE SERVICES OR ANY RELATED INFORMATION; (B) UNAUTHORIZED ACCESS TO THE SERVICES; (C) CONDUCT OF ANY THIRD PARTY (INCLUDING OTHER USERS) OF THE SERVICES; OR (D) ANY OTHER MATTER RELATING TO THE SERVICES. IN NO EVENT WILL WHATSGOODAPPS’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION EXCEED THE GREATER OF (I) ONE HUNDRED DOLLARS ($100) OR (II) THE PRICE YOU PAID FOR THE SERVICE IN THE LAST TWELVE (12) MONTHS. IF YOU ARE MERELY DISSATISFIED WITH ANY PORTION OF THE SERVICES OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICES.
Indemnification
You will indemnify, defend and hold harmless WhatsGoodApps and its affiliates, shareholders, officers, directors, employees, agents and representatives from and against any and all claims, including all damages, judgments, costs and expenses (including, reasonable attorneys’ fees) (“Claims”), arising out of and relating to (a) any Claims concerning information input, uploaded, submitted, exported, published, or shared by You, including User Content, uploaded PDF content, uploaded DOCX content, uploaded TXT content, extracted text, rewritten outputs, exported files, and other Assets, (b) Your use of the Services, including Your access to, use of, sharing of, publication of, submission of, reliance on, or misuse of the Services, rewritten outputs, exports, or Assets, (c) Your violation of any school, workplace, platform, professional, contractual, academic integrity, disclosure, or third-party rule or obligation, or (d) Your violation of these Terms of Service (including use of the Services in violation of these Terms of Service).
Dispute Resolution and Governing Law
ALL LEGAL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT (INCLUDING ANY DISPUTE REGARDING THE INTERPRETATION OR PERFORMANCE OF THE AGREEMENT) (“Dispute”) WILL BE GOVERNED BY THE LAWS OF THE STATE OF NEW YORK, USA, EXCLUDING NEW YORK’S CONFLICTS OF LAWS RULES.
The parties will try in good faith to settle any Dispute within 30 days after the Dispute arises. If the Dispute is not resolved within 30 days, it shall be resolved by arbitration by the American Arbitration Association in accordance with its Expedited Commercial Rules in force as of the date of this Agreement (“Rules”). The parties will mutually select one arbitrator. The arbitration will be conducted in English in New York County, New York, USA.
Either party may apply to any competent court for injunctive relief necessary to protect its rights pending resolution of the arbitration. The arbitrator may order equitable or injunctive relief consistent with the remedies and limitations in the Agreement.
The arbitral award will be final and binding on the parties, and its execution may be presented in any competent court, including any court with jurisdiction over either party or any of its property. Each party will bear its own lawyers’ and experts’ fees and expenses, regardless of the arbitrator’s final decision regarding the Dispute.
Force Majeure
Neither party will be liable for failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, terrorism, riots, pandemics or war.
Waiver and Severability
If You do not comply with a portion of these Terms and We do not take action right away, this does not mean We are giving up any of Our rights under these Terms. If any part of these Terms is determined to be invalid or unenforceable by a court of competent jurisdiction or arbitrator, the remainder of the Terms shall be enforced to the maximum extent permitted by law.

You represent and warrant that You have all necessary rights, permissions, consents, and authority to submit User Content to the Services and to allow the Services to process, rewrite, edit, format, store, display, export, and otherwise use such User Content and related Assets as described in these Terms and Our Privacy Policy.
You are solely responsible for User Content, including its legality, accuracy, confidentiality, sensitivity, and any third-party rights that may apply. You should not submit confidential, proprietary, sensitive, regulated, or third-party content unless You have the legal right and authority to do so and are comfortable with such content being processed and stored as described in these Terms and Our Privacy Policy.
PDF, DOCX, and TXT Uploads
The App may allow You to upload, import, or submit PDF, DOCX, TXT, or other supported files for text extraction, rewriting, editing, formatting, or export. Supported file types, file size limits, word limits, page limits, processing limits, and available upload features may vary by subscription plan, device, version, region, or other factors and may change over time.
Text extraction from uploaded documents may be imperfect. PDF files, scanned files, images, tables, columns, headers, footers, footnotes, page numbers, non-standard fonts, unusual formatting, password-protected files, corrupted files, or complex layouts may not extract accurately or completely. DOCX files may not preserve all formatting, comments, tracked changes, headers, footers, tables, images, embedded objects, or other document features. TXT files may not preserve styling, rich formatting, images, tables, or layout. You are solely responsible for reviewing extracted text before and after rewriting.
We do not guarantee that any uploaded file can be processed, extracted, rewritten, displayed, stored, downloaded, exported, or converted successfully.
PDF, DOCX, and TXT Exports
The App may allow You to export, save, download, share, or otherwise create rewritten results or other Assets as PDF, DOCX, TXT, or other supported file formats. Export features, supported formats, file size limits, document length limits, formatting options, and availability may vary by subscription plan, device, version, region, or other factors and may change over time.
Exported files may not perfectly preserve original formatting, layout, fonts, spacing, page breaks, margins, headers, footers, footnotes, endnotes, comments, tracked changes, tables, images, embedded objects, lists, hyperlinks, metadata, or other document features. PDF, DOCX, and TXT exports may differ from the original file and from what appears in the App. You are solely responsible for reviewing exported files before submitting, sharing, publishing, distributing, printing, or relying on them.
We do not guarantee that any exported file will be accepted by any school, employer, platform, publisher, client, agency, institution, software program, document reader, or third-party service.
No Guarantee of Detection, Originality, Acceptance, or Compliance
The App is a writing, rewriting, editing, and productivity tool. We do not guarantee that any User Content, rewritten output, exported file, or other Asset will pass, avoid, or produce any particular result from any AI detection, authorship detection, plagiarism detection, moderation, originality, review, or compliance system. Different tools, reviewers, institutions, platforms, employers, and other parties may evaluate the same content differently.
We do not guarantee that any content generated or modified through the Services is original, non-infringing, accurate, acceptable, publishable, suitable for submission, compliant with any policy, or free from claims by third parties. You are solely responsible for checking originality, citations, permissions, compliance, attribution, factual accuracy, and suitability for Your intended use.
School, Workplace, Platform, and Professional Rules
You are solely responsible for understanding and following any school, university, workplace, professional, client, publisher, platform, marketplace, contest, grant, scholarship, certification, licensing, or other rules, policies, contracts, disclosure obligations, or honor codes that apply to Your use of the Services and Assets.
The Services are not intended to help You violate, conceal violations of, or avoid compliance with any applicable rule, policy, contract, or legal obligation. If You are required to disclose the use of AI tools, obtain permission, cite sources, use only original work, or follow particular submission rules, You are solely responsible for doing so.
No Professional, Legal, Academic, Employment, or Compliance Advice
The Services and Assets are provided as a writing, rewriting, editing, productivity, and informational tool and do not constitute legal, academic, employment, publishing, compliance, professional, or expert advice. You should not rely on the Services as the sole basis for making legal decisions, academic integrity decisions, employment decisions, publishing decisions, compliance decisions, or other decisions that may materially affect a person’s rights, opportunities, reputation, or obligations.
You are solely responsible for how You interpret, edit, use, share, publish, submit, export, or rely upon any Assets generated by the Services.
History, Storage, and Data Loss
The App may save submitted text inputs, uploaded document text, extracted text, prompts, rewritten versions, exported files, and related Assets in the App’s History, saved projects, or similar features for future reference. Such data may be stored locally on Your device, in app storage, or through other storage methods used by the App.
If You delete the App, clear app data, change devices, lose access to Your device, or Your phone data is lost, damaged, deleted, or not backed up, You may permanently lose Your saved History, User Content, rewritten outputs, exported files, projects, and related Assets.
We have no obligation to preserve, back up, restore, recover, or provide copies of any lost History, User Content, rewritten output, exported file, project, or Asset.
No Model Training Using User Inputs
We do not use User Content, including pasted text, uploaded PDF content, uploaded DOCX content, uploaded TXT content, extracted text, prompts, rewritten outputs, exported files, or whole text inputs, to train, retrain, develop, or improve Our machine learning models.
User Content is processed for the purpose of providing the Services, generating rewritten outputs, extracting document text, creating exported files, saving History where applicable, operating the App, maintaining security, complying with applicable law, and enforcing these Terms.
User Responsibility for Outputs
You may choose to copy, save, export, screenshot, share, submit, publish, distribute, or otherwise use Assets generated by the Services. You are solely responsible for any such use, including ensuring that Your use complies with applicable laws, institutional policies, workplace policies, platform policies, contracts, disclosure obligations, and third-party rights.
If You share, submit, publish, distribute, or otherwise use any Asset, You must not remove material context, misrepresent the output, misrepresent authorship, imply any endorsement that does not exist, or use the output in a misleading, defamatory, harassing, infringing, deceptive, or unlawful manner.
Changes to Rewriting, Upload, Export, and History Features
We may modify, update, suspend, limit, or discontinue any aspect of the rewriting, humanizing, editing, tone adjustment, document upload, PDF import, DOCX import, TXT import, text extraction, PDF export, DOCX export, TXT export, History, saved project, or related features at any time. Results may change over time as the Services are updated, and previously generated Assets may not reflect later versions of the Services.
Informational and Productivity Purpose
The App and all features within the App are provided as writing, rewriting, editing, productivity, and informational tools.
We do not guarantee that users will obtain any particular rewritten text, tone, quality, formatting, export result, acceptance result, detection result, or other outcome when using the Services.
User experiences and results may vary due to the automated and probabilistic nature of the App’s rewriting and document processing features.
Limitation of Liability
To the fullest extent permitted by law, WhatsGoodApps LLC and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages (including but not limited to loss of profits or any other financial losses) arising from:
Your use of or reliance on any AI-generated suggestions, rewritten outputs, edits, exports, or other Assets.
Any inaccuracy, incompleteness, delay, formatting error, extraction error, export error, conversion error, or other error in the algorithms, outputs, or files provided by the App.
Any failure of User Content, rewritten outputs, exported files, or other Assets to pass or avoid detection by AI detection, authorship detection, plagiarism detection, moderation, originality, review, or compliance systems.
Any rejection, penalty, discipline, claim, dispute, loss, reputational harm, or other consequence arising from Your submission, publication, distribution, sharing, export, or use of User Content, rewritten outputs, exported files, or other Assets.
Any loss, deletion, corruption, or unavailability of History, User Content, rewritten outputs, exported files, projects, or other Assets, including due to deletion of the App, loss of phone data, device changes, or failure to back up data.
Any decisions You make based on the App’s features; or
Your use of or interaction with any Third-Party Services.
Both the Services and the Assets are provided to Customer on an “AS IS” BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. You are solely responsible for determining the appropriateness of using the Service and assume any risks associated with use of the Services.
The Service is not intended to provide financial or legal advice.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT NEITHER WHATSGOODAPPS NOR ITS OFFICERS, EMPLOYEES, DIRECTORS, SHAREHOLDERS, LICENSORS, SERVICE PROVIDERS, AFFILIATES AND AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF WHATSGOODAPPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE SERVICES OR ANY RELATED INFORMATION; (B) UNAUTHORIZED ACCESS TO THE SERVICES; (C) CONDUCT OF ANY THIRD PARTY (INCLUDING OTHER USERS) OF THE SERVICES; OR (D) ANY OTHER MATTER RELATING TO THE SERVICES. IN NO EVENT WILL WHATSGOODAPPS’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION EXCEED THE GREATER OF (I) ONE HUNDRED DOLLARS ($100) OR (II) THE PRICE YOU PAID FOR THE SERVICE IN THE LAST TWELVE (12) MONTHS. IF YOU ARE MERELY DISSATISFIED WITH ANY PORTION OF THE SERVICES OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICES.
Indemnification
You will indemnify, defend and hold harmless WhatsGoodApps and its affiliates, shareholders, officers, directors, employees, agents and representatives from and against any and all claims, including all damages, judgments, costs and expenses (including, reasonable attorneys’ fees) (“Claims”), arising out of and relating to (a) any Claims concerning information input, uploaded, submitted, exported, published, or shared by You, including User Content, uploaded PDF content, uploaded DOCX content, uploaded TXT content, extracted text, rewritten outputs, exported files, and other Assets, (b) Your use of the Services, including Your access to, use of, sharing of, publication of, submission of, reliance on, or misuse of the Services, rewritten outputs, exports, or Assets, (c) Your violation of any school, workplace, platform, professional, contractual, academic integrity, disclosure, or third-party rule or obligation, or (d) Your violation of these Terms of Service (including use of the Services in violation of these Terms of Service).
Dispute Resolution and Governing Law
ALL LEGAL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT (INCLUDING ANY DISPUTE REGARDING THE INTERPRETATION OR PERFORMANCE OF THE AGREEMENT) (“Dispute”) WILL BE GOVERNED BY THE LAWS OF THE STATE OF NEW YORK, USA, EXCLUDING NEW YORK’S CONFLICTS OF LAWS RULES.
The parties will try in good faith to settle any Dispute within 30 days after the Dispute arises. If the Dispute is not resolved within 30 days, it shall be resolved by arbitration by the American Arbitration Association in accordance with its Expedited Commercial Rules in force as of the date of this Agreement (“Rules”). The parties will mutually select one arbitrator. The arbitration will be conducted in English in New York County, New York, USA.
Either party may apply to any competent court for injunctive relief necessary to protect its rights pending resolution of the arbitration. The arbitrator may order equitable or injunctive relief consistent with the remedies and limitations in the Agreement.
The arbitral award will be final and binding on the parties, and its execution may be presented in any competent court, including any court with jurisdiction over either party or any of its property. Each party will bear its own lawyers’ and experts’ fees and expenses, regardless of the arbitrator’s final decision regarding the Dispute.
Force Majeure
Neither party will be liable for failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, terrorism, riots, pandemics or war.
Waiver and Severability
If You do not comply with a portion of these Terms and We do not take action right away, this does not mean We are giving up any of Our rights under these Terms. If any part of these Terms is determined to be invalid or unenforceable by a court of competent jurisdiction or arbitrator, the remainder of the Terms shall be enforced to the maximum extent permitted by law.
