For the purposes of this document, “we”, “us”, and “our” refers to WhatsGoodApps, LLC. We operate the Ai Waifu Chat mobile app (the “App”), as well as other related products and Services, including but not limited to any communities on Discord or Reddit. Collectively, the App and all related products and Services are referred to as the “Services”.

These Terms apply to all individuals using the Services. Regardless of whether the Services are accessed through a computer, mobile device, or any other technological medium or method, all such parties are collectively referred to as “you”, “User”, or “Users” as contextually appropriate. These Terms constitute a binding agreement between you and us. Before using the Services or submitting any Personal Information to the App, please review these Terms of Service and our Privacy Policy carefully. By using the Services, you agree to these Terms and to the practices described in our Privacy Policy. If you do not agree, you may not access or use the Services.

“Content” refers to any and all information and materials that users submit or generate, including but not limited to text, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features, textual content, and other materials. It includes everything that users generate, view, upload, publish, submit, make available, display, communicate, or post on the Services. It encompasses the full range of digital content that users can potentially upload or generate with the App. This means that it includes both the content that users upload and the content that users prompt the software to generate.

Consent

By accessing, utilizing, or visiting the Services, including any content, functionalities, and Services offered, you are indicating your acceptance and agreement to these Terms of Service (“Terms”), as well as our Privacy Policy. Using the App constitutes your consent to these Terms. If you do not consent, do not use the Services.

Age Requirement

We are committed to providing a safe experience for our users. The Services may only be used by individuals who are at least 18 years of age, or the age of majority in the jurisdiction from which the Services are being accessed or in which the user resides, whichever is greater.

The Services may include mature, romantic, flirtatious, suggestive, fictional, anime/manga-style, AI-generated companion content. The Services are not intended for children or minors and may not be accessed or used by anyone under 18.

The Services are intended to avoid nudity, sexually explicit material, exploitative content, sexualized minors, illegal content, and non-consensual sexual content. You may not attempt to use the Services to request, create, generate, save, share, or distribute any such content.

By using the Services, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these Terms, and will comply with all laws and standards applicable in your jurisdiction. You will not permit any person under 18 to access or use the Services through your device, account, or access credentials.

If you are under 18, if you do not have the legal capacity to accept these Terms, or if use of the Services is prohibited in your jurisdiction, you must not access or use the Services.

AI Nature of the Services

The Services utilize artificial intelligence to simulate conversations and interactions. All characters are fictional and are not real individuals. Any emotional or personal connection formed through the Services is simulated and provided solely for entertainment purposes. The Services are not intended to provide real-world companionship, relationships, or emotional support.

Anime/Manga Style Disclaimer

The Services are anime/manga-themed. Characters, images, visual styles, personas, dialogue, backstories, and outputs are fictional, stylized, and AI-generated or AI-assisted. They do not depict real people and are not intended to represent, imitate, or recreate any real person, celebrity, influencer, public figure, private individual, or identifiable real-world identity.

Any resemblance between a character, image, voice, name, style, backstory, personality, or other output and any real person is unintended and coincidental. The Services are provided for personal entertainment purposes only.

No Affiliation With Anime, Manga, Game, or Entertainment Franchises

Unless expressly stated by us in writing, Ai Waifu Chat is not affiliated with, endorsed by, sponsored by, approved by, or connected to any anime studio, manga publisher, game developer, film or television studio, franchise owner, platform, rights holder, celebrity, influencer, or brand.

References to anime, manga, waifu, character archetypes, visual styles, or fictional companion themes are descriptive of the App’s general stylized entertainment experience and do not imply any relationship with any third-party property or rights holder.

No Professional or Mental Health Advice

The Services are not a substitute for professional advice, including but not limited to mental health, psychological, or relationship counseling. You agree that you will not rely on the Services for emotional support, decision-making, or real-life guidance. If you are experiencing distress or require assistance, you should seek help from a qualified professional.

AI Output Disclaimer

You acknowledge and agree that responses, anime/manga-style images, audio messages, voice messages, and other outputs generated by the Services are produced by artificial intelligence and may be inaccurate, misleading, inappropriate, incomplete, inconsistent, distorted, or unexpected. AI-generated anime/manga-style images may contain visual artifacts, variations in appearance, differences in style, or other imperfections. AI-generated audio may contain pronunciation issues, voice inconsistencies, tonal variations, technical artifacts, or other imperfections. We do not guarantee the accuracy, reliability, quality, consistency, realism, suitability, or appropriateness of any content generated by the Services. All use of AI-generated content is at your own risk.

Because the Services use anime/manga-style generation, outputs may include stylized proportions, exaggerated expressions, fantasy elements, inconsistent character details, unexpected clothing or accessories, artifacts, or other imperfections. We do not guarantee that any character or output will remain visually consistent across generations or match any particular anime, manga, art style, genre, trope, or aesthetic expectation.

Simulated Relationship Disclaimer

You acknowledge that any interactions, relationships, or emotional dynamics experienced through the Services are simulated. Characters do not possess consciousness, emotions, intent, affection, loyalty, memory, or independent judgment. Any perceived relationship, including romantic or emotional attachment, is fictional and may change or behave inconsistently based on system design and user inputs.

Personalized messages, anime/manga-style images, audio messages, voice messages, or other character-based content do not constitute genuine affection, companionship, emotional support, or real-world interaction. You agree not to rely on any character, message, photo, audio message, or other AI-generated output for emotional support, real-life decision-making, relationship guidance, or mental health support.

Platform Compliance

You agree to comply with all applicable rules, policies, and guidelines of any platform through which the Services are distributed, including but not limited to the Apple App Store and Google Play. Any use of the Services in violation of such platform rules may result in suspension or termination of your access.

Romantic and Suggestive Content Limitations

While the Services may allow for romantic or suggestive interactions, you agree not to generate or engage in content that violates applicable laws or platform guidelines, including but not limited to sexually explicit content where prohibited by distribution platforms.

The Services are intended to avoid nudity, sexually explicit material, exploitative content, illegal content, and non-consensual sexual content. You may not attempt to use the Services to create, request, encourage, or obtain any such content.

Because anime/manga-style characters may appear stylized or age-ambiguous, you may not request, generate, describe, sexualize, save, share, or distribute any character who is, appears to be, is described as, or is presented as under 18, a student/minor, childlike, “loli”, “shota”, or otherwise underage in a sexual, romanticized-sexual, exploitative, or suggestive context.

AI-Generated Anime/Manga-Style Images

The Services may allow you to request AI-generated anime/manga-style images of fictional waifu characters by selecting from a list of available image categories, scenarios, poses, themes, or other options. Users cannot freely describe or prompt custom image scenes unless that functionality is expressly provided in the App.

All such images are generated or assisted by artificial intelligence, are fictional, stylized, and do not depict real people. Any resemblance to any actual person, living or dead, or to any third-party fictional character, franchise, brand, or copyrighted work is unintended and coincidental.

Each AI-generated anime/manga-style image is a separate paid digital item unless otherwise expressly stated in the App. You may request multiple images, including multiple images from the same listed category or scenario, and each request may result in a different image. Each request requires a separate payment unless otherwise expressly stated in the App.

Images are generated based on system design, available character data, technical limitations, moderation rules, third-party provider limitations, and other factors. They may vary in appearance, style, clothing, setting, pose, lighting, quality, proportions, accessories, character consistency, and overall creative interpretation.

AI-generated anime/manga-style images are provided for personal entertainment purposes only. We do not guarantee that any image will match your expectations, preferences, subjective standards, requested anime/manga aesthetic, or desired character consistency. Dissatisfaction with attractiveness, styling, pose, outfit, background, consistency, interpretation, or overall creative result does not entitle you to a refund, credit, replacement, or other compensation, except where required by applicable law or applicable platform rules.

Although the Services are designed to avoid X-rated content, nudity, sexual poses, and sexualized minors in AI-generated images, AI systems may occasionally produce unintended artifacts, inaccuracies, or unexpected results. You agree not to request, attempt to obtain, save, share, or distribute any generated image that violates these Terms, applicable law, or applicable platform policies.

User Photo Uploads and AI Waifu Comments

Certain subscription plans, including yearly subscription plans, may allow users to upload photos of themselves so that their AI waifu character can generate comments, reactions, or other responses based on the uploaded photo. This feature is provided solely for personal entertainment purposes.

By uploading a photo, you represent and warrant that you are the person depicted in the photo, or that you have all necessary rights, permissions, and consents to upload and use the photo through the Services. You may not upload photos of other people without their permission, photos of minors, nude images, pornographic images, sexually explicit images, intimate images, non-consensual images, exploitative images, illegal images, private images, or images that violate these Terms, applicable law, platform rules, or third-party rights.

The photo upload feature is not intended for adult content, pornography, nudity, sexual content, intimate image sharing, or sexual image analysis. You may not use the Services to upload, request comments on, generate responses to, or otherwise process any nude, pornographic, sexually explicit, sexualized, exploitative, or non-consensual photo or image.

Uploaded photos may be processed, transmitted, analyzed, moderated, temporarily stored, or otherwise handled by us and/or third-party service providers as needed to provide the feature, generate AI responses, maintain safety, enforce these Terms, troubleshoot issues, improve the Services, and comply with our Privacy Policy. You should not upload photos that contain sensitive personal information, private information about third parties, financial information, identification documents, medical information, or any content you do not want processed by automated systems.

AI-generated comments, reactions, or responses about uploaded photos may be inaccurate, incomplete, inappropriate, subjective, inconsistent, unexpected, or based on limited visual information. The Services do not provide professional advice, identity verification, beauty ratings, health assessments, psychological evaluations, or any other factual determination about you or any person depicted in an uploaded photo. You should not rely on AI-generated comments for self-image, health, relationship, emotional, professional, or other real-life decisions.

We reserve the right to refuse, block, remove, delete, filter, moderate, or decline to process any uploaded photo or related request that we believe may violate these Terms, applicable law, platform rules, third-party provider policies, safety standards, or our business or operational requirements. We do not guarantee that any uploaded photo will be accepted, analyzed, stored, returned, or produce a response.

AI-Generated Audio Messages

The Services may allow you to request AI-generated audio messages from fictional waifu characters. You may be asked to describe what you want the character to say. Audio messages are generated by artificial intelligence using synthetic or AI-generated voices. The voices are fictional, simulated, and are not real people. The Services are not intended to imitate, impersonate, or recreate any real person, celebrity, public figure, private individual, or identifiable voice.

Each AI-generated audio message is a separate paid digital item. You may request audio messages an unlimited number of times, subject to payment, technical availability, moderation, and these Terms. Audio messages are intended to be up to 30 seconds in length, but this is only an estimate and not a guarantee. Messages may be longer depending on system behavior, user input, moderation requirements, technical constraints, and other factors.

AI-generated audio messages are provided for personal entertainment purposes only. We do not guarantee that any audio message will match your requested wording exactly, use a particular tone, emotion, accent, style, pacing, or pronunciation, or satisfy your subjective expectations. Dissatisfaction with voice quality, tone, wording, pronunciation, length, emotional delivery, creative interpretation, or technical artifacts does not entitle you to a refund, credit, replacement, or other compensation, except where required by applicable law or applicable platform rules.

You are solely responsible for the prompts, descriptions, requests, and other content you submit for audio message generation. You may not request audio messages that are illegal, abusive, harassing, hateful, deceptive, exploitative, sexually explicit where prohibited, non-consensual, intended to impersonate a real person, or otherwise prohibited by these Terms.

Paid Digital Items, Delivery, and Refunds

Anime/manga-style images, audio messages, voice messages, waifu packs, continent Gacha packs, Gacha packs, waifu packs, continent packs, unlocked waifu characters, subscriptions, credits, and other paid features made available through the Services are digital items or digital services. They have no cash value, are non-transferable, may not be resold, and are provided only for personal, non-commercial use within the Services unless we expressly state otherwise in writing.

Unless expressly stated otherwise, payment for one digital item entitles you only to that specific requested generation, Gacha or pack opening, character unlock, or digital feature and does not entitle you to unlimited generations, future generations, Gacha or pack openings, characters, free replacements, refunds, credits, or additional items. Prices, availability, features, categories, characters, generation limits, and delivery methods may change at any time.

Delivery times, generation times, message lengths, and output formats are estimates only. The Services may be delayed, unavailable, interrupted, or unable to generate a requested item due to moderation, technical issues, third-party service limitations, payment issues, connectivity issues, or other reasons. To the fullest extent permitted by law, we are not responsible for delays, failed generations, corrupted outputs, temporary unavailability, or loss of access to generated items.

All purchases are subject to the payment, refund, and cancellation rules of the platform or payment provider through which the purchase is made, including the Apple App Store or Google Play where applicable. Except where required by applicable law or applicable platform rules, purchases of digital items are final and non-refundable once requested, delivered, generated, consumed, or otherwise made available.

Gacha, Waifu Packs, and Continent Packs

The Services may include a section of the App called “Gacha” where users may purchase, open, or “rip” virtual waifu packs, including continent-based packs such as a North America Pack, South America Pack, and other continent, region, theme, rarity, or character-based packs that may be added, removed, modified, or replaced over time.

Each Gacha pack is a paid digital item made available through a one-time in-app purchase unless otherwise expressly stated in the App. When you open or rip a waifu pack, the App will reveal one fictional AI waifu character associated with the continent, region, theme, rarity, category, country, location, or other pack type represented by that pack.

Users may open as many packs as they wish, subject to payment, availability, these Terms, applicable platform rules, and any limits we may impose. Each Gacha or pack opening requires a separate purchase unless the App expressly states otherwise.

All waifu characters obtained through Gacha or packs are fictional, anime/manga-style, AI-generated or AI-assisted digital characters created for entertainment purposes only. They are not real people, are not intended to represent any specific real person or third-party fictional character, and do not create any real-world relationship, entitlement, affiliation, ownership interest, or personal connection.

Randomized Gacha and Pack Outcomes

Opening a Gacha pack or waifu pack produces a randomized digital outcome. We do not guarantee that you will receive any particular waifu character, country, nationality, region, personality type, appearance, voice, style, cultural background, rarity, or other result when opening a pack. Each Gacha or pack opening is independent, and previous results do not influence future outcomes.

The country, location, character, personality, attributes, knowledge, style, or other characteristics associated with a Gacha or pack result may be determined by internal randomization systems, algorithms, AI systems, available character data, moderation rules, product design, and other technical or operational factors. Results may repeat, vary, or differ from user expectations.

If probabilities, descriptions, previews, examples, pack names, countries, regions, or other information are displayed in the App, they are provided for entertainment and informational purposes and may be approximate, subject to change, and dependent on the available pack design at the time the pack is opened.

Anime/Manga Tropes and Character Archetypes

The Services may use fictional anime/manga-inspired archetypes, personality styles, genres, visual themes, or entertainment tropes, such as affectionate, shy, confident, dramatic, fantasy, idol, magical, neko, tsundere, yandere, or other stylized character concepts. These features are fictional entertainment devices and should not be understood as real identities, real relationship models, mental health depictions, cultural representations, or factual statements about any person or group.

You may not use character archetypes, tropes, or styles to request, encourage, normalize, glorify, or depict abuse, stalking, coercion, harassment, threats, self-harm, non-consensual conduct, illegal conduct, or other harmful behavior. We may refuse, filter, modify, remove, or limit any character, prompt, archetype, or output that we believe creates safety, legal, platform-compliance, or moderation concerns.

Cultural Traits, Local Knowledge, and Fictional Character Disclaimer

Certain waifu characters may include fictional personality details, conversational styles, cultural references, local knowledge, regional interests, language patterns, or homeland-related information associated with a particular country, continent, or region. These features are generated or assisted by artificial intelligence and are provided solely for entertainment purposes.

We do not guarantee that any cultural traits, local knowledge, facts, customs, translations, dialects, slang, historical references, geographic information, or country-specific content will be accurate, complete, current, representative, respectful, or free from errors. AI-generated cultural or local information may be simplified, fictionalized, outdated, mistaken, stereotyped, or incomplete.

No waifu character is intended to represent all people from any country, nationality, ethnicity, culture, race, religion, language group, region, or community. You agree not to use the Services to create, request, encourage, or promote hateful, discriminatory, demeaning, exploitative, or harassing content based on nationality, ethnicity, race, religion, culture, language, gender, sexual orientation, or any protected or sensitive characteristic.

Ownership and License of Gacha and Pack Characters

Waifu characters, packs, continent packs, character personalities, backstories, appearances, voices, traits, local knowledge features, chat functionality, and all related digital items are licensed, not sold, to you. You receive a limited, revocable, non-exclusive, non-transferable license to access and interact with unlocked waifu characters solely within the App for your personal, non-commercial entertainment use, subject to these Terms.

You do not acquire ownership of any waifu character, pack, country-based character concept, AI persona, likeness, voice, personality, backstory, local knowledge profile, generated output, or related intellectual property. You may not sell, trade, transfer, sublicense, scrape, copy, export, commercialize, or otherwise exploit pack characters or related digital items except as expressly allowed by the App and these Terms.

No Gambling, No Prizes, and No Real-World Value

Waifu packs are intended solely for entertainment purposes. Although opening a pack involves a randomized digital outcome, the Services do not offer gambling, wagering, cash prizes, real-world prizes, or anything redeemable for money or real-world value.

Gacha packs, waifu packs, continent Gacha packs, Gacha packs, waifu packs, continent packs, unlocked waifu characters, digital personalities, generated outputs, and all related virtual items have no cash value, cannot be redeemed for money, cannot be exchanged for real-world goods or services, and cannot be sold, transferred, traded, or assigned outside the App. Any attempt to sell, trade, transfer, or commercially exploit Gacha packs, Gacha packs, waifu packs, continent packs, unlocked waifu characters, or related digital items may result in suspension or termination of access to the Services.

You should not purchase, open, or rip Gacha packs or other packs with the expectation of receiving any financial benefit, investment value, collectible value, resale value, or real-world economic benefit. Any perceived rarity, desirability, uniqueness, personality value, cultural value, or entertainment value of a Gacha or pack result exists only within the App and may change or be discontinued at any time.

Gacha and Pack Availability, Changes, and Balancing

We may add, remove, rename, modify, replace, rebalance, or discontinue packs, continent Gacha packs, Gacha packs, waifu packs, continent packs, countries, regions, characters, character traits, local knowledge profiles, voices, appearances, personality systems, randomization systems, prices, probabilities, and other Gacha- and pack-related features at any time. This may include changing the countries available within a pack, adding new continent packs, removing older packs, changing how characters are assigned, or updating character content after a character has been unlocked.

Such changes may affect the availability, behavior, perceived value, usefulness, uniqueness, or desirability of previously purchased Gacha packs or other packs or unlocked waifu characters. We do not guarantee that any Gacha pack, pack, country, character, feature, personality, voice, appearance, cultural profile, or chat capability will remain available, unchanged, or supported indefinitely.

Generation Availability, Moderation, and Refusal Rights

AI generation features may depend on automated systems, moderation tools, third-party providers, device functionality, network availability, platform rules, payment status, and other factors outside of our control. We do not guarantee that any requested anime/manga-style image, audio message, voice message, text response, Gacha or pack result, waifu character, or other output will be generated, delivered, stored, or remain available. Requests may fail, be delayed, time out, be filtered, be rejected, be regenerated, be substituted, or produce an unintended output.

We reserve the right, in our sole discretion, to refuse, block, filter, modify, remove, regenerate, or decline any prompt, request, output, generated anime/manga-style image, generated audio message, voice message, text response, Gacha or pack result, waifu character, character interaction, or other content that we believe may violate these Terms, applicable law, platform rules, third-party provider policies, safety standards, or our business or operational requirements. We may also suspend or terminate access to generation features or the Services if we believe a User is attempting to bypass moderation, generate prohibited content, abuse the Services, or create risk for us, other users, third-party providers, or any platform.

If a requested generation fails, is refused, or is blocked, we may, but are not required to, provide a retry, replacement, credit, or other remedy. Any remedy we provide is discretionary except where required by applicable law or applicable platform rules. We are not required to provide any remedy for requests that violate these Terms or applicable policies.

No Unauthorized Third-Party Characters or Intellectual Property

You may not use the Services to request, create, upload, generate, distribute, or attempt to generate any character, image, voice, name, outfit, likeness, personality, backstory, dialogue, visual design, or other content that copies, imitates, recreates, or is confusingly similar to any third-party anime, manga, game, film, television, comic, fictional character, franchise, studio, publisher, brand, trademark, copyrighted work, or other protected property without authorization.

You are solely responsible for ensuring that your prompts, requests, uploads, and uses of generated content do not violate the rights of any third party. We may block, refuse, modify, remove, or limit any content that appears to infringe or risk infringing third-party rights, whether or not the content is generated in a stylized, anime/manga, parody, tribute, or fan-art-like manner.

No Real Person Impersonation or Deepfake Use

You may not use the Services to request, create, upload, generate, distribute, or attempt to generate any content that imitates, impersonates, recreates, or is intended to resemble any real person, celebrity, public figure, private individual, identifiable voice, recognizable likeness, or real-world identity without appropriate authorization. This prohibition applies to text, anime/manga-style images, voices, audio messages, character descriptions, prompts, and all other content or outputs.

You may not use the Services to create deceptive deepfakes, misleading synthetic media, non-consensual synthetic images or audio, false endorsements, fake statements, or any content intended to make others believe that a real person said, did, appeared in, approved, or endorsed something they did not. Any resemblance between AI-generated characters, images, voices, or outputs and real persons is unintended and coincidental.

Synthetic Voice and Audio Disclaimer

AI-generated audio messages and voice messages are produced using synthetic or AI-generated voice technology. They are not live communications, voicemails, recordings, or messages from a real person. The fictional waifu characters do not actually speak, feel, intend, remember, approve, or endorse the content of any audio message.

Synthetic voices may vary between generations and may include differences in tone, accent, pacing, volume, pronunciation, emotion, background artifacts, clarity, or overall quality. We do not guarantee that any voice will remain consistent, that any audio message will sound natural, or that any audio message will match your requested words, tone, timing, length, or emotional delivery.

Third-Party AI Providers and Technology

Some features of the Services may rely on third-party artificial intelligence models, voice systems, image generation systems, hosting providers, payment processors, analytics tools, moderation tools, app stores, or other external services. The availability, quality, speed, functionality, and cost of certain features may depend on those third-party systems.

We are not responsible for outages, delays, restrictions, content filters, model changes, policy changes, pricing changes, data processing limitations, output variations, failed generations, or other issues caused by or related to third-party providers. We may change, replace, add, remove, or limit third-party providers, AI models, generation systems, voices, image styles, categories, characters, or related technology at any time.

Pricing, Feature Changes, and Generation Limits

We may change pricing, purchase options, subscriptions, credits, generation categories, available image scenarios, available voices, character features, usage limits, delivery methods, output formats, and other features of the Services at any time. We may also discontinue, replace, restrict, or modify any feature, character, category, model, voice, image style, or generation option at any time without liability to you.

We may impose, modify, or remove limits on the number of anime/manga-style images, audio messages, prompts, generations, retries, downloads, saves, or other uses permitted through the Services. We may also limit unusually high usage, automated usage, abusive usage, or usage that creates technical, legal, business, safety, moderation, or platform-compliance concerns.

Subscriptions and Automatic Renewal

Some features may be offered through auto-renewing subscriptions or recurring billing plans. If you purchase a subscription, the subscription will automatically renew at the price and billing period disclosed at the time of purchase unless you cancel before the end of the then-current billing period, subject to the rules of the platform or payment provider through which the purchase was made.

Subscription billing, cancellation, refunds, renewals, and free trials are handled by the applicable platform or payment provider, such as the Apple App Store or Google Play, where applicable. You are responsible for reviewing the purchase screen, renewal terms, trial terms, billing period, renewal price, and cancellation instructions before completing a purchase. Deleting the App does not necessarily cancel a subscription. You must cancel through the applicable platform or payment provider if you do not want the subscription to renew.

If a free trial, discounted introductory offer, or promotional offer is provided, the subscription may automatically convert to a paid subscription at the disclosed price unless cancelled before the trial or promotional period ends. We do not control platform billing systems and cannot guarantee refunds, cancellations, or billing adjustments except as required by applicable law or applicable platform rules.

Certain features, including user photo upload features, AI waifu photo comments, premium character interactions, Gacha access, or other premium features, may be available only through specific subscription plans, such as a yearly subscription plan, as described in the App at the time of purchase.

Account Suspension and Termination

We reserve the right, at our sole discretion, to suspend or terminate your access to the Services, including any paid subscriptions, if you violate these Terms or create potential liability for us. To the fullest extent permitted by law, no refunds will be issued in connection with such terminations.

Data and Processing Flexibility

While certain features of the Services may store data locally on your device, you acknowledge and agree that we may process, store, or analyze interactions and usage data to operate, maintain, and improve the Services, in accordance with our Privacy Policy.

Local Storage, App Deletion, and Loss of Data

Certain features of the Services may store data locally on your device, including but not limited to conversations, character information, saved chats, generated anime/manga-style images, AI-generated audio messages, waifu Gacha packs, Gacha packs, waifu packs, continent packs, unlocked waifu characters, locally saved media, user preferences, history, and other content or data associated with your use of the App. You acknowledge and agree that if you delete the App, reset your device, lose access to your device, clear app data, switch devices, or otherwise remove or lose the locally stored data associated with the App, some or all of your data may be permanently deleted and may not be recoverable.

This may include data or content associated with paid features or paid digital items, including previously generated anime/manga-style images, audio messages, purchased Gacha packs, Gacha packs, waifu packs, continent packs, unlocked waifu characters, conversation history, character-related data, saved outputs, and other content generated through the Services. Reinstalling the App or restoring your device may not restore such data or content. We are not responsible for backing up, restoring, replacing, refunding, or recreating any data, content, generated media, paid digital item, or purchase-related content that is lost due to App deletion, device loss, device reset, data clearing, storage failure, user action, software error, or any other cause.

You are solely responsible for preserving, exporting, saving, or backing up any content or generated media that you wish to keep, to the extent the App provides functionality to do so. We do not guarantee that any conversation, character, generated anime/manga-style image, audio message, unlocked waifu character, Gacha or pack result, history item, or other content will remain available indefinitely.

Responsible Use

You are solely responsible for your use of the Services. Excessive or prolonged use may impact your well-being. You agree to use the Services in a balanced and responsible manner.

License

Subject to the terms and conditions outlined herein, we hereby grant you a limited, non-transferable, non-exclusive, revocable license to access the Services solely for your personal, non-commercial use. Please note that we retain the right to modify, suspend, or terminate the Services at any time without prior notice to you. You acknowledge and agree that we shall not be liable to you or any third party for any changes, interruptions, or terminations of the Services or any part thereof. Furthermore, you acknowledge that we have no obligation to provide you with support or assistance related to the Services. Except for any content uploaded by you, you acknowledge that all intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Services and its content, are owned by us. It is important to understand that these Terms and your access to the Services do not grant you any rights, title, or interest in or to any intellectual property rights. We expressly reserve all rights that are not explicitly granted to you under these Terms.

Uploaded Content

You hold exclusive responsibility for your Content. Any risks associated with the use of your Content are borne solely by you. By submitting Content, you affirm that it complies with our Terms of Service. You may not falsely represent or imply that your Content is provided, sponsored, or endorsed by us. It is important to note that as the sole owner of your Content, you may be exposed to potential liability. We are under no obligation to back up any Content you submit, and we retain the right to delete your Content at any time without prior notice. If you wish to have a backup of your Content, it is your sole responsibility to create and maintain your own copies.

By uploading Content or submitting a review, you represent and warrant that you are the creator of the file or other content you are uploading, or that you possess sufficient intellectual property rights to upload the material in accordance with these terms. Regarding any file or content you upload to the public areas of our App, you grant us a non-exclusive, royalty-free, perpetual, irrevocable worldwide license (including sublicense and assignment rights) to use, display online and in any current or future media, create derivative works of, allow downloads of, and/or distribute such file or content. If you choose to delete any such file or content from the public areas of our App, the license granted to us as described above will automatically terminate. However, this termination will not affect any file or content that we have already copied, sublicensed, or designated for sublicense. Please be aware that your Content will be viewable by others, and therefore you grant any user of the Services a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, display, publish, reproduce, distribute, and create derivative works of your Content through our Services and functionalities. Any Content you download, access, or use from us or another user is done at your own risk and is subject to these Terms and any accompanying terms specific to that Content.

Prohibited Content

You are required to refrain from submitting any Content to the Services that falls under the category of Prohibited Content. Prohibited Content encompasses any Content that:

Is illegal or advocates, depicts, or promotes illegal activity of any nature
Promotes, constitutes, or engages in any form of human trafficking
Depicts sexualized minors, including any depiction or description, whether through drawn or generated images, involving individuals under the age of 18, or under the age of consent in the jurisdiction from which it is being create, whichever is greater
Includes gore, bestiality, or sexual violence
Solicits or shares private information about an individual (also known as “doxing”)
Solicits or shares users login credentials
Violates the intellectual property or proprietary rights of third parties
Engages in intimidation, bullying, or incites others to engage in similar behavior
Contains inflammatory or hate speech, including content that promotes violent extremism or political agitation
Illustrates, promotes, incites, advocates, or supports terrorism or individuals involved in violent extremism
Showcases, encourages, or depicts acts of self-harm or suicide
Constitutes spam, deceptive content, or misinformation
Promotes actions that may be considered criminal, result in civil penalties, violate any law, or are generally inappropriate
Promotes racism, bigotry, hatred, or physical harm of any kind towards any group or individual
Circumvents or conveys information on bypassing moderation controls or any other security features
Includes self-promotion, promotion of other tools or services, or repetitive, irrelevant, or inappropriate messages (spam), or
Requests, creates, or attempts to create anime/manga-style images, voices, audio messages, or other content that impersonates, imitates, recreates, or is intended to resemble any real person, celebrity, public figure, private individual, or identifiable voice without authorization
Creates or attempts to create deceptive deepfakes, non-consensual synthetic media, misleading impersonations, or content intended to make others believe that a real person said, did, appeared in, or endorsed something they did not
Requests or attempts to generate nudity, sexually explicit content, sexualized minors, non-consensual sexual content, exploitative content, or sexual content involving real or apparently real people
Uses country-based, continent-based, cultural, national, ethnic, racial, religious, or language-related character features to harass, demean, stereotype, exploit, or promote hatred toward any person, group, country, nationality, ethnicity, race, religion, culture, or community, or
Depicts any real life person – all characters must be AI generated or made up by the user. This means the character images, descriptions, and everything about the character must not be based on any real life person.
Requests or attempts to generate characters, images, voices, audio messages, names, outfits, likenesses, personalities, backstories, dialogue, or content that copy, imitate, recreate, or are confusingly similar to third-party anime, manga, game, film, television, comic, fictional characters, franchises, studios, brands, trademarks, or copyrighted works without authorization
Requests, creates, describes, sexualizes, saves, shares, or distributes any anime/manga-style or stylized character who is, appears to be, is described as, or is presented as under 18, a student/minor, childlike, “loli”, “shota”, or otherwise underage in a sexual, romanticized-sexual, exploitative, or suggestive context
Uses anime/manga tropes, archetypes, or fictional character styles to promote, normalize, glorify, or depict abuse, stalking, coercion, harassment, threats, self-harm, non-consensual conduct, illegal conduct, or other harmful behavior
Acceptable Use

You agree not to use the Services to collect, upload, transmit, display, or distribute any Content that:

Infringes upon the any rights of third parties, including intellectual property or proprietary rights
Is unlawful, harassing, abusive, threatening, tortious, harmful, invasive of privacy, defamatory, false, trade libelous, intentionally misleading, pornographic involving minors, patently offensive, promotes racism, bigotry, hatred, or physical harm of any kind against any individual or group
Causes harm to minors in any manner, or
Is in violation of any law, regulation, or restrictions or obligations imposed by any third party.
You also agree not to:

Upload, transmit, or distribute any software via the Services with the intention of damaging or altering computer systems or data
Transmit unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any form of duplicative or unsolicited messages through the Services
Utilize the Services to harvest, collect, gather, or compile information or data about other users without their consent
Disrupt, interfere with, or impose an undue burden on servers or networks connected to the Services, or violate the regulations, policies, or procedures of such networks
Attempt to gain unauthorized access to the Services, whether by means of password mining or any other method
Harass or interfere with the use and enjoyment of the Services by other users, or
Employ software, automated agents, or scripts to generate automated searches, requests, or queries to the Services.
Please note that we retain the right to review any Content and to investigate and/or take appropriate action against you at our sole discretion if you violate any provision of these Terms or create liability for us or any other person. Such actions may include modifying or removing your Content, restricting your access to the Services, and/or reporting you to law enforcement authorities.

Feedback

In the event that you furnish us with any feedback or suggestions concerning the Services, you hereby transfer and assign to us all rights, titles, and interests in and to such feedback, and further consent to our unrestricted right to employ and exploit such feedback and associated information in any manner we deem fit. We shall consider any feedback you furnish to us as being devoid of confidentiality and proprietary claims.

Character Conversations, Local Characters, and Local Stories

All conversations with Characters are private and exist only on the device that the conversation took place on. This is also true for characters created and saved locally, and stories written but not published. We cannot access your conversations, local characters, or local stories, and neither can any third-party. Nevertheless, you agree that your conversation will not contain any Prohibited Content. This includes the messages that you send, as well as that the character responds with, to the extent that your messages cause the character to respond with Prohibited Content.

Image requests, audio message requests, prompts, generated anime/manga-style images, generated audio, and related generation metadata may be processed, transmitted, reviewed by automated systems, or stored as needed to operate, moderate, maintain, improve, troubleshoot, and provide the Services, in accordance with our Privacy Policy. You should not submit sensitive personal information, private information about third parties, or content that you do not have the right to submit.

That said, you have the option to publish both characters and stories to the App. These will then be available to all users of the App. By publishing a character or story, you agree that it does not contain any Prohibited Content. If it does, we reserve the right to remove the character or story from the platform, as well as report the user to the appropriate authorities. We take prohibited content very seriously, and will not hesitate to take action against users who violate these Terms.

Indemnification

You hereby undertake to indemnify and hold us, our officers, employees, agents, and affiliates harmless, including the reimbursement of costs and attorney’s fees, against any claim or demand asserted by a third party arising from or relating to:

Your use of the Services
Your violation of these Terms
Your violation of applicable laws or regulations, or
Your Content.
We reserve the right to assume the exclusive defense and control of any matter for which you are obligated to indemnify us, and you agree to cooperate fully in the defense of such claims. You further agree not to settle any matter without our prior written consent. We will make reasonable efforts to inform you promptly upon becoming aware of any such claim, action, or proceeding.

Disputes With Other Users

Each user bears sole responsibility for their own Content. As we do not exercise control over the Content, you acknowledge and agree that we assume no responsibility for any Content, whether provided by you or others. You agree that we shall not be held liable for any loss or damage incurred as a result of such interactions. In the event of a dispute between you and any other user, we are not obligated to intervene. By accepting these terms, you hereby release, discharge, waive, and relinquish, both now and in perpetuity, us and our officers, employees, agents, affiliates, successors, and assigns from all past, present, and future disputes, claims, controversies, demands, rights, obligations, liabilities, actions, and causes of action, of any kind or nature, directly or indirectly arising from or relating to the Services. If you are a California resident, you hereby waive California civil code section 1542 in connection with the foregoing, which states: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”

Our Privacy Policy is incorporated into these Terms by reference. By using the Services, you agree to the practices described in our Privacy Policy and, where applicable, any Cookies Policy or similar disclosures made available by us.

Commercial Use

By engaging in the act of downloading a file or image or copying user-generated content (UGC) from the App, you expressly acknowledge and agree that you do not assert any ownership rights over said content. You may utilize UGC solely for personal, non-commercial purposes. However, you are permitted to employ UGC in a manner that qualifies as fair use under copyright law, such as for journalistic endeavors encompassing news reporting, commentary, or criticism. It is important to include an appropriate attribution (“Waifu GPT” or “courtesy of the Ai Waifu Chat app”) alongside the display of such UGC. Please be aware that your utilization of UGC is undertaken at your own risk. We provide no warranties or guarantees regarding non-infringement, and you assume all responsibility for any claims of copyright infringement arising from your use of UGC.

Generated anime/manga-style images, audio messages, voice messages, and other AI-generated media are licensed to you only for personal, non-commercial entertainment use, unless we expressly provide written permission otherwise. You may not sell, resell, license, sublicense, distribute for commercial purposes, use in advertising, use to train or improve machine learning or artificial intelligence systems, use to create competing services, or otherwise commercially exploit any generated media or character-based content from the Services.

If you export, download, save, copy, share, post, transmit, or otherwise make generated anime/manga-style images, audio messages, voice messages, character content, or other outputs available outside the Services, you are solely responsible for that use and for complying with applicable laws, platform rules, third-party rights, and these Terms. We are not responsible for any third-party use, misuse, copying, reposting, editing, distribution, or other handling of content after you export, share, download, or otherwise make it available outside the App.

With the exception of the provisions outlined in this section or elsewhere within our Legal Terms, no part of the Services or any Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose, unless expressly authorized by our prior written consent. Should you wish to make use of the Services, Content, or our trademarks in a manner not explicitly outlined in this section or elsewhere in our Legal Terms, kindly direct your request to support@whatsgoodapps.com. In the event that we grant permission for you to post, reproduce, or publicly display any portion of our Services or Content, you must duly acknowledge us as the rightful owners or licensors of said Services or Content, and ensure that any applicable copyright or proprietary notices are displayed or made visible during such posting, reproduction, or display.

You may not use generated waifu characters, anime/manga-style images, character designs, names, personalities, backstories, dialogue, audio, voices, or other outputs to create merchandise, stickers, NFTs, comics, games, apps, datasets, AI training data, competing services, advertisements, promotional materials, or other commercial products or services without our prior written permission and any third-party permissions that may be required.

Disclaimers

Generated anime/manga-style images, audio messages, voice messages, and other AI-generated outputs may be delayed, unavailable, inconsistent, corrupted, incomplete, inaccurate, lower quality than expected, or different from what you requested or anticipated. Synthetic voices may include pronunciation issues, emotional mismatches, pacing issues, or other technical imperfections. Any stated or estimated message length, delivery time, generation time, output quality, or feature availability is not guaranteed.

The Services are provided on an “as-is” and “as-available” basis. We want to make it clear that your use of the Services is entirely at your own risk. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, relating to the Services and your use thereof. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We cannot guarantee the accuracy or completeness of the content provided through the Services, nor can we assume any liability or responsibility for any errors, mistakes, or inaccuracies in the content and materials. We make no guarantee that the Services will meet your requirements, will be available on an uninterrupted, timely, secure, or error-free basis, or will be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe. Additionally, we will not be held liable for any personal injury or property damage resulting from your access to and use of the Services. We do not warrant the security of our servers or the confidentiality of any personal or financial information stored therein. We will not be responsible for any unauthorized access to or use of such servers or the information stored within them. Furthermore, we cannot guarantee uninterrupted transmission to or from the Services, and we will not be liable for any interruption or cessation of such transmission. We also disclaim any responsibility for any bugs, viruses, trojan horses, or similar harmful elements that may be transmitted to or through the Services by any third party. We do not endorse or guarantee any product or service advertised or offered by third parties through the Services, including any websites or mobile applications linked to or featured in advertising. We are not a party to any transaction between you and any third-party providers of products or services, and we will not be responsible for monitoring such transactions. It is important to exercise caution and use your best judgment when purchasing products or services through any medium or in any environment. In summary, please be aware that we provide the Services as-is, without warranties, and we are not responsible for any errors, inaccuracies, damages, or interactions with third-party providers. Your use of the Services should be done with care and consideration. If applicable law requires any warranties with respect to the Services, all such warranties are limited in duration to ninety (90) days from the date of first use. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. Some jurisdictions do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you.

No Warranty Regarding Emotional Outcomes

We do not warrant, represent, or guarantee that the Services will provide companionship, emotional satisfaction, romantic fulfillment, social improvement, mental health benefits, personal improvement, entertainment value, or any particular emotional or psychological outcome. Any apparent affection, attraction, intimacy, encouragement, attention, or emotional response from a character is simulated and generated for entertainment purposes only.

You agree that you are solely responsible for your use of the Services and for maintaining healthy boundaries with simulated characters and AI-generated content. The Services are not a substitute for real human relationships, professional counseling, medical care, crisis support, or other professional services.

Limitation on Liability

To the maximum extent permitted by applicable law, we and our suppliers shall not be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, punitive, or damages of any kind, including but not limited to lost profits, lost data, or costs of procurement of substitute products, arising from or related to these terms or your use of the Services, even if we have been advised of the possibility of such damages. Your access to and use of the Services are at your own discretion and risk, and you shall bear sole responsibility for any damage to your device or computer system, or loss of data resulting therefrom. Furthermore, to the maximum extent permitted by applicable law, and notwithstanding anything to the contrary contained herein, our liability to you for any damages arising from or related to this agreement shall at all times be limited to the lesser of the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising, or the sum of fifty U.S. dollars (USD $50). The existence of multiple claims shall not enlarge this limit. You acknowledge and agree that our suppliers shall have no liability of any kind arising from or relating to this agreement. Please note that certain jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations or exclusions may not apply to you.

Governing Law, Dispute Resolution, Arbitration, and Class Action Waiver

To the fullest extent permitted by applicable law, these Terms and any dispute, claim, or controversy arising out of or relating to the Services, your use of the Services, any purchase, subscription, generated content, AI output, photo, audio message, voice message, character interaction, or these Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles, unless applicable law requires otherwise.

To the fullest extent permitted by applicable law, you and we agree that any dispute, claim, or controversy arising out of or relating to the Services or these Terms will be resolved through binding individual arbitration rather than in court, except that either party may bring an individual claim in small claims court if the claim qualifies and remains in that court. The arbitration shall be conducted on an individual basis and not as a class, collective, consolidated, private attorney general, or representative action. Any arbitration, mediation, legal proceeding, or dispute resolution process arising out of or relating to these Terms or the Services shall be conducted exclusively in New York County, New York, and you hereby consent to the exclusive jurisdiction and venue of such proceedings in New York County, New York.

You and we each waive the right to a jury trial and waive the right to participate in a class action, class arbitration, collective action, consolidated action, private attorney general action, or other representative proceeding to the fullest extent permitted by law. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim. If any portion of this arbitration or class action waiver provision is found unenforceable, the remaining portions shall remain in effect to the fullest extent permitted by law.

Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, security, platform integrity, or other rights that may be irreparably harmed. You may opt out of this arbitration provision by sending written notice to us at support@whatsgoodapps.com within thirty (30) days after you first accept these Terms, stating your name, the email address associated with your account if any, and your intent to opt out of arbitration.
